1   Internet:

For the purpose of this website, QSL (as detailed below) is the company responsible for maintaining this trading facility in the first instance.

  • Items herein are sold only to the United Kingdom unless otherwise stated or by special arrangement.

  • All prices are in UK pounds sterling unless otherwise stated.

  • Delivery charges will apply as advised or to be advised.

  • Customers must be over 18 years old.

  • Items purchased over the Internet are sold on a 14 day sale or return basis after which the trade is agreed.

  • Please be advised you must contact us for a GRN (Goods Returned Notice form) and give reasonable opportunity to discuss problems before returning goods.

  • Goods must be returned in the exact same condition in which they were received.

  • Damaged packaging should not be accepted (you should instruct the courier that you do not accept the goods and ask him to take them back, but where packaging damage appears to be only slight, you may agree with the courier to sign with the statement "uninspected").

  • Suspected damage in transit must be witnessed and photographed immediately you become aware of the suspected damage, preferably before the items are removed from the packaging.

  • Errors and omissions may be corrected at any time before a trade is agreed after the above 14 day period.

  • Items marked TBA (To Be Advised) will require confirmation and agreement of price before an order can proceed.

  • Items without a clearly marked or ambiguous price are considerred TBA.

  • Prices and descriptions advertised on the Internet may vary at any time.

  • Electronic goods sold new and software sold new carry a 12 month warranty as specified below.

  • Second-hand goods are sold as seen and carry no warranty.

As with any trading, both parties acknowledge they enter into an understanding to trade which gives both parties a reasonable right to cordiality and tolerance. Whilst the customer always reserves the right to withhold or cease trading, QSL and/or its assigns reserve the right to withhold or cease trading with selected individuals and organisations as and where notified. Neither party is relieved from its duties or accrued rights during the course of any outstanding disputed trade prior to any agreement to cease trade.


2   STANDARD TERMS OF SALE:

As applicable, QSL applies the following generic terms to all transactions, to the exclusion of any terms proposed by other parties except where they are agreed in writing.

Abbreviations & Interpretations:

  • QSL = Queensgate Systems Ltd as referenced below.

  • Supplier: Queensgate Systems Ltd (QSL). Customer: Entities or Agents receiving QSL goods and services.

  • SAT and FAT = Site and Factory Acceptance Tests. FDS = Functional Design Specification.

  • IPR = Intellectual Property Rights, S/W = Software, H/W = Hardware.

  • 1st, 2nd and 3rd Support levels are described in QSL Work Practices.

  • Verifiable, Verifiably: Acknowledged or Recorded Communications.

  • Otherwise Agreed: Verifiably agreed modification to these terms by a QSL director. Prior meaning prior to award of contract.

  • Subject To Variation: to proceed only by agreement of additional costs.

  • CIS = Customer Information System

  • For the purpose of these terms, trade, sale, transaction mean the same thing.

Software is sold on a User License basis. One user license grants a non-exclusive transferable right to use the software on one computer at a time. Quotation costs are valid only for 21 days from date on Quotation and exclude VAT. Significant variations to costs of outsourced product will be passed on as a variation (applied for with supporting evidence). Itemised costs are valid only within the entirety and option costs are valid only if ordered with main offer. Customer accepts responsibility for verifiably received goods. QSL retains ownership title to any goods awaiting remittance. Unless otherwise agreed prior, prices do not include modems, display driver hardware or displays, public address amplifiers or speakers, equipment accommodation, fixings, shelving, power or signal cabling, terminations, diagrams. Unless costed in by prior arrangement, working and installation environments must be readily accessible during office hours by large trolley or vehicle and be amenable, suitably sound, secure and be accessible without tools, special clothing, special training, hoists, ladders and must have amenities that satisfy the health and safety executive. A 12 month return to base warranty applies to supplied equipment and services covering proven defects in manufacture or workmanship. Unless otherwise agreed, QSL's liability for malfunction, deficiency or late delivery is strictly limited to that of repair or replacement or refund (at QSL's option) of the applicable components and services under this warranty (excepting our commitment to standard Employers and Public Liability). QSL neither offers nor accepts responsibility for: consequential loss from any cause; delays or malfunctions arising from causes outside of QSL's control. Quoted Service Levels, Warranties and Maintenance Support are valid subject to the equipment and environment being kept in good order, supervised, kept in regular use, routinely maintained and supplied with appropriate spares levels. In the event of Dispute, QSL must be given reasonable opportunity to correct either the problem or the criticism, during which time the dispute must remain confidential. Stage Payment claims may be made as appropriate. Please note that, to maintain our responsibility to the terms of any applicable contract or order, any special terms and additional requirements must be adhered to from the time of order placement unless otherwise agreed. Our correspondence is copyright and confidential for the marked recipient only. QSL retains IPR for all QSL designs excepting designs specifically described as "bespoke". Excepting where formally quoted by QSL, prices and specifications published are subject to change without notice. Resource and Stock availability should be confirmed immediately before orders are placed. Please note that unless these are expressly included and costed, costs are not included as standard for additional Quality Controls such as SAT & FAT, Migration documents, Method Statements, Site Connectivity Diagrams. For each system installed at a given site, one user familiarisation training session of 2 hours is provided and one user manual is supplied per user terminal. Site specific maintenance training and maintenance manuals are not included. Separately costed Maintenance agreement and Spares Procurement are required to ensure QSL's responsibility to product lifetimes (5 years by default, 10 years after independently priced technology refreshment), serviceability, warranty, WEEE disposal. Customers and agents retain responsibility for any system design issued in their specification. Tender to mean same thing as Quotation.
